Paramount Skydance has completed its $110bn takeover of Warner Bros Discovery. The huge deal will reshape Hollywood and the global media industry.
The merger brings two major Hollywood studios under one roof. It also combines popular brands such as HBO, CBS, CNN, Nickelodeon and Showtime.
The new company will operate under the name Skydance Corporation. David Ellison, who leads Skydance, described the deal as “historic” for the film industry.
“Now that ambition is a reality,” Ellison said.
What the Warner Bros Deal Means for Hollywood
The merger gives Paramount control of some of Hollywood’s biggest franchises. These include Harry Potter, Game of Thrones and The Lord of the Rings.
Paramount already owns major franchises such as Mission: Impossible and Indiana Jones. The deal could therefore create a much stronger rival in streaming and film.
However, the merger also brings major financial pressure. The combined company carries heavy debt at a time of high interest rates.
Dan Coatsworth of AJ Bell said Skydance must cut costs and increase profits. The company needs stronger profits to reduce its debt.
The streaming business could also face major changes. Casey Bloys will lead direct-to-consumer content as co-chair and chief content officer.
HBO, CNN and CBS Face a New Era
Bloys previously led HBO and Max content. Mike Proulx of Forrester Research expects the HBO team to guide the combined streaming business.
That could strengthen HBO’s position. However, Proulx warned that cost-cutting could affect content quality.
CNN also faces an uncertain future under the new company. Mark Thompson will remain chairman and editor-in-chief of CNN Worldwide.
Meanwhile, Bari Weiss will continue as editor-in-chief of CBS News. Paramount has also agreed to create a news editorial independence board.
The board aims to protect independent and fact-based reporting at CNN and CBS.
Why the Merger Faced Strong Opposition
The road to the merger proved far from smooth. Netflix first reached a deal to buy part of Warner Bros Discovery.
Paramount then entered the race and triggered a bidding war. Netflix eventually walked away from the deal.
After that, lawyers from several US states sued to stop Paramount’s takeover. They argued that the merger could reduce competition and increase prices.
California led the legal challenge. The states later reached a settlement with Paramount, clearing the way for the merger.
New Rules Could Protect Hollywood Jobs
The settlement also puts strict rules on the new company. Paramount must release at least 30 films every year.
The company must also keep artificial intelligence from replacing real film production. The rules aim to prevent cheap, automated content from filling its movie quota.
Paramount must produce at least 20% of its films in the US for two years. That figure will rise above 30% during the following three years.
The deal marks a major new chapter for Hollywood. Now, Skydance must prove that size can bring success without sacrificing creativity.
