UK Moves to Challenge $110 Billion Paramount-Warner Bros. Merger

The UK government may challenge the $110 billion Paramount-Warner Bros. merger over media diversity concerns, creating fresh delays for the blockbuster deal.

The United Kingdom has thrown a fresh obstacle in the way of the proposed $110 billion Paramount Warner Bros merger. Culture Secretary Lisa Nandy said she is “minded to intervene” because of concerns about media diversity. In the UK, that phrase means the government is preparing to take legal action but has not made the final decision. The companies now have one week to respond before the next step.

If the intervention happens, UK media regulator Ofcom will investigate the deal alongside the Competition and Markets Authority. Nandy said she wants to protect a “sufficient plurality of views in news media” and ensure different people control media businesses.

Meanwhile, Warner Bros. Discovery declined to comment. However, Paramount remains confident. A company spokesperson said, “We are confident that our proposed transaction does not pose any media plurality issues in the UK.”

The timing matters because Paramount hopes to complete the deal before the end of September. Any delay will become expensive. The agreement adds 25 cents per Warner Bros. Discovery share every three months after September. That could increase the total cost by about $627 million each quarter.

Elsewhere, regulators in Europe are still reviewing the deal. The US Justice Department already approved it without conditions. Even so, some state attorneys general are considering legal action. California Attorney General Rob Bonta recently said, “There are red flags in the air everywhere.” Paramount continues to argue the merger will strengthen competition against major technology companies.
